This letter of intent confirms our understanding of the present intentions of (name of acquiring company or the purchaser) and (collectively the seller) with respect to the principal terms and conditions under which the purchaser will acquire (name division, number of stocks, subsidiary, assets, liabilities of the company). This transaction is herewith termed as acquisition.

The parties acknowledge the letter here does not contain all the matter upon which an agreement can be reached in order for the acquisition to be consummated, and this leaves scope for future negotiation. Accordingly the letter is solely intended to serve as the basis for further discussion and does not constitute a legally binding agreement.

Further details of the company’s financials and other documents related to the acquisition are attached herewith for your kind perusal.
